By joining our referral program as a Promoter, you help local businesses grow while earning rewards for your promotional efforts.
These Promoter Terms of Use (“Terms”) govern your participation in the program. By registering or participating, you agree to these Terms and all applicable federal and California laws.
Section 1: Overview of Your Villa Shop Local
1.1 Platform Description
Your Villa Shop Local is a referral marketing platform designed to support local businesses by generating customer referrals through community-based promotion.
1.2 Service Provider
The platform is operated by SourceReferral, Inc., a California corporation doing business as Your Villa Shop Local (“YVSL,” “we,” “our,” or “us”).
Section 2: Definitions
2.1 Promoter
An individual or entity participating in referral campaigns.
2.2 Business
A company using YVSL for marketing and customer acquisition.
2.3 Campaign
A promotional initiative created by a Business.
2.4 Referral
A new customer generated through a Promoter’s unique referral activity and verified by YVSL.
Section 3: Independent Contractor Relationship
3.1 No Employment Relationship
Promoters participate as independent contractors. Nothing in these Terms creates an employment, partnership, or agency relationship.
3.2 No Authority
Promoters may not represent themselves as employees, agents, or authorized representatives of YVSL or any Business.
Section 4: Eligibility Requirements
4.1 Legal Age and Capacity
You must be at least 18 years old.
4.2 Accurate Information
You agree to provide accurate and current information.
4.3 Legal Compliance
You must comply with all applicable laws, including:
California marketing and consumer protection laws
Federal Trade Commission (Federal Trade Commission) endorsement guidelines
Anti-spam and SMS marketing regulations
Section 5: Participation in Campaigns
5.1 Geographic Scope
Promotions must follow campaign-specific geographic requirements.
5.2 Prohibited Practices
You may NOT:
Submit fake, self, or duplicate referrals
Use misleading or deceptive advertising
Spam contacts or send unsolicited messages
Incentivize referrals in a way that violates laws or campaign rules
5.3 Content Guidelines
All promotional content must:
Be truthful and not misleading
Clearly disclose any incentive or reward
Comply with advertising and endorsement laws
Section 6: Compensation
6.1 Earning Rewards
Rewards are earned only when:
A valid referral is submitted
The referred customer completes required actions (as defined by the Business)
The referral is approved by YVSL
6.2 Approval and Discretion
All referral approvals, validations, and reward determinations are made at the sole discretion of YVSL and/or the participating Business.
6.3 Duplicate Referrals
If multiple promoters refer the same individual, credit will be given to the first verified submission.
6.4 Payment Processing
Payments may be issued via approved methods (e.g., Venmo, Zelle, ACH) and may require identity verification.
6.5 Reversals and Holds
YVSL reserves the right to:
Withhold payments for suspected fraud
Reverse rewards if a transaction is canceled, refunded, or deemed invalid
6.6 Taxes
You are solely responsible for all tax obligations. YVSL may issue tax forms (e.g., 1099) as required by law.
Section 7: Communication and SMS Consent
7.1 Consent to Communications
By participating, you agree to receive communications related to your account, referrals, and campaigns.
7.2 SMS Messaging Compliance
If you opt into SMS:
Message frequency may vary
Message and data rates may apply
You can opt out at any time by replying STOP
For help, reply HELP or contact support
7.3 No Unauthorized Messaging
Promoters may not send SMS or email messages on behalf of YVSL or any Business without proper consent from recipients.
Section 8: Intellectual Property and Brand Use
8.1 Limited License
YVSL grants Promoters a limited, non-exclusive, revocable license to use approved marketing materials solely for campaign participation.
8.2 Restrictions
You may not:
Modify branding or logos
Create unauthorized ads implying official partnership
Use YVSL or Business trademarks without permission
Section 9: Termination

We may suspend or terminate your participation at any time, with or without notice.

Upon termination:

Section 10: Liability and Legal Provisions

The platform is provided “as is” without warranties of any kind.

To the maximum extent permitted by law, YVSL shall not be liable for:
Indirect or consequential damages
Loss of income or business opportunities

You agree to indemnify and hold harmless YVSL from any claims arising from your actions, promotions, or violations of these Terms.

These Terms are governed by the laws of the State of California.
11.2 Arbitration Agreement
Any dispute shall be resolved through binding arbitration in California, except where prohibited by law.

You agree to resolve disputes individually and waive any right to participate in class actions.
